Job Description

This is a remote position.

Responsibilities

  • Handle compliance across geographies (US, UK, India) and across non-profit / for-profit entity structures (charitable trust, section 8 company,  private limited company)
  • Maintain compliance calendar that covers MCA, RBI, FCRA and tax compliances in India, relevant state and federal compliances in the US, and Companies House and tax compliances in UK.
  • Coordinate with tax and regulatory advisors in India, US and UK as well as with internal teams to ensure that all compliances are done on time
  • Liaise with board members, prepare agendas and papers for board meetings, committees, EGMs and annual general meetings (AGMs) and follow up on action points.
  • Convene and service all company meetings, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
  • Provide legal, financial, and/or strategic advice during and outside of meetings.
  • Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
  • Liaise with external regulators and advisers such as lawyers and auditors.
  • Implement processes or systems to ensure good management of the organization.
  • Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • Work with the legal counsel to manage contractual agreements with suppliers and customers.

Requirements

  • Company Secretary with 5 years experience
  • Candidates with a Bachelor’s degree in accountancy and finance, business and management, and the law would be preferred
  • prior exposure to FCRA (India), charitable trusts (India), section 8 companies (India) and 501c3 (US) compliances will be a strong positive, but is not a mandatory requirement.
  • willingness and self-motivation to learn and stay updated about a constantly changing compliance environment across geographies
  • Strong administrative skills and an aptitude for using compliance software.
  • Excellent communication skills, interpersonal skills with the ability to build relationships
  • High level of commercial acumen
  • Meticulous attention to detail and the ability to work well under pressure.
  • Excellent organization and time management.
  • An ability to take initiative and get things done.
  • Discretion when handling confidential information
  • Confidence to provide support to senior executives and board members.
  • Experience with compliance tools would be an added advantage
